to open a model you need Milkshape or 3D Studio Max 5-8

I think what he's trying to do is decompile the model and import it's reference smd into a program so he can edit it.

For that you need a decompiler, like mentioned before, you can use milkshape to decompile any mdl file.

All of your questions can be answered in the HL SDK. You can download that at 3dgamers.com, search for Half-Life SDK.

I took the liberty in taking out the documents you need to read to get you started on modeling, texturing, and animating your models for half-life, in these documents it will also explain how to compile your smds into a .mdl

HTML Version

MS Word Version

I recommend you download the html as it has everything you need to see in the right order, get the MS Word version if you prefer that instead.

Hope this helps!
